Description
Assist corporate attorneys with entity formation and maintenance, corporate governance, transactions, and regulatory compliance by researching corporate law, preparing corporate documents, managing records, and coordinating closings and filings.
- • Form and maintain corporations, LLCs, and subsidiaries, including registrations and annual reports.
- • Maintain corporate records, minute books, and officer, director, and shareholder lists.
- • Draft and file charters, bylaws, resolutions, consents, minutes, and certificates.
- • Prepare and file UCC financing statements and other state business filings.
- • Support board and committee meetings with agendas, materials, and minutes.
- • Manage cap tables, stock issuances, option grants, and transfer ledgers.
- • Coordinate diligence requests, data rooms, and signature packets for M&A and financings.
- • Assist with SEC and Blue Sky filings, including Form D and Section 16 reports.
- • Research corporate statutes, regulations, and precedents to support transactions and compliance.
- • Review and manage NDAs, commercial agreements, and contract templates.
- • Manage closing checklists, deliverables, and post-closing binders.
- • Liaise with clients, internal teams, registered agents, and outside counsel.
