Description
Assist legal and business teams by drafting, reviewing, and negotiating contracts, researching applicable law, and managing contract records. Conduct analysis to support commercial transactions, ensure compliance, and mitigate contractual risk.
  • • Research statutes, regulations, and case law affecting contract terms and compliance.
  • • Coordinate contract workflow, including routing for legal and business review and approvals.
  • • Maintain and update contract templates, clause libraries, and negotiation playbooks.
  • • Analyze contract scope, pricing, and risk; capture key terms and metadata.
  • • Draft, review, redline, and negotiate contracts and amendments (e.g., NDAs, MSAs, SOWs, purchase agreements).
  • • Prepare contract summaries, term comparisons, and negotiation positions for stakeholders.
  • • Meet with internal clients and external parties to clarify requirements and resolve issues.
  • • Organize and maintain executed agreements and correspondence in an electronic repository.
  • • Track contract status, milestones, renewals, expirations, and deliverables.
  • • Support change orders, disputes, and compliance reviews by analyzing obligations and documenting deviations.
  • • Conduct vendor and customer due diligence using public records and databases.
  • • Obtain signatures via e-signature platforms and ensure proper execution and recordation.
