Description
Provide in-house legal counsel to the company on corporate governance, commercial transactions, regulatory compliance, and risk management. Draft and negotiate agreements, develop policies, manage disputes and outside counsel, and advise leaders on strategic and day-to-day legal matters.
  • • Advise executives and business teams on transactions, risk, and legal obligations.
  • • Interpret laws, rulings, and regulations affecting the company and its operations.
  • • Evaluate legal exposure and probable outcomes of disputes or regulatory actions.
  • • Draft, review, and negotiate commercial agreements, including NDAs, MSAs, and sales or procurement contracts.
  • • Develop and maintain compliance programs and internal policies.
  • • Support corporate governance, board and committee matters, and entity management.
  • • Manage litigation and pre-litigation disputes; direct outside counsel and e-discovery.
  • • Conduct or oversee internal investigations of ethics and compliance issues.
  • • Advise on employment and labor matters in partnership with HR.
  • • Guide product, engineering, and marketing on regulatory requirements and risk.
  • • Support M&A, joint ventures, and financings, including diligence and integration.
  • • Monitor legal and regulatory developments and translate them into actionable guidance.
  • • Prepare corporate resolutions, consents, and required filings; support SEC reporting if applicable.
  • • Negotiate and resolve commercial disputes and settlement agreements.
  • • Provide training to employees on legal, ethics, and compliance topics.
  • • Build and manage contract templates, playbooks, and approval workflows.
  • • Protect and manage intellectual property, including trademarks and licensing.
  • • Review external communications and campaigns for legal risk and compliance.
  • • Collaborate with subject-matter experts and external advisors on specialized issues.
  • • Respond to subpoenas, government inquiries, and regulatory examinations.
  • • Oversee legal operations, budgets, and outside counsel management.
  • • Support real estate, leasing, and facilities agreements as needed.
